1. Parties

This Agreement is entered into between:

• Licensor: Thijs Joosten Digital Acquisition, based in the Netherlands ("TJDA", "we", "us").
• Licensee: The individual or legal entity that has purchased a license and is installing or using the Plugin ("you", "your").

2. Grant of License

Subject to your compliance with this Agreement and payment of applicable license fees, TJDA grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

• Install and use the Plugin on the number of WordPress websites specified in your purchased license plan.
• Use the Plugin solely for your own business purposes or, if you are an agency, for the benefit of your direct clients.

3. License Plans

The following license plans are available:

• Monthly License: €5.00 per month, per domain.
• Annual License: €50.00 per year, per domain — saving two months compared to monthly billing.

Each license is tied to a single domain. Additional domains require additional licenses. Licenses are non-refundable unless required by applicable law.

4. Restrictions

You may not, unless expressly permitted in writing by TJDA:

• Copy, reproduce, distribute, sell, resell, sublicense, or transfer the Plugin or your license key to any third party.
• Use a single license key on more domains than permitted by your license plan.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Plugin, in whole or in part.
• Modify, adapt, translate, or create derivative works based on the Plugin.
• Remove, disable, circumvent, or replace the license validation mechanism of the Plugin, including but not limited to replacing TJDA's license server with any third-party server or self-hosted equivalent.
• Extract, isolate, or repurpose any part of the Plugin's codebase to build a competing product or service.
• Share, publish, or make available the Plugin's source code, in whole or in part, on public repositories, forums, or any other medium.
• Remove, obscure, or alter any proprietary notices, labels, or marks on the Plugin.
• Use the Plugin in any way that violates applicable laws or regulations, including but not limited to the GDPR.

Any breach of the restrictions set out in this Section 4 constitutes a material breach of this Agreement and may result in immediate termination of your license, legal action for damages, and/or injunctive relief. TJDA reserves the right to remotely disable licenses found to be in breach of these restrictions.

5. Intellectual Property

The Plugin, including all code, design, documentation, and associated materials, is and remains the exclusive intellectual property of Thijs Joosten Digital Acquisition. This Agreement does not transfer any ownership rights to you. All rights not expressly granted herein are reserved by TJDA.

6. License Validation

The Plugin communicates with TJDA's license server (s2s-plugin.tj-da.com) to verify the validity of your license. By using the Plugin, you agree that:

• The Plugin will periodically send your domain name and license key to the license server for validation purposes.
• No personal data of your website visitors is transmitted to the license server.
• License verification may be performed up to once every 24 hours.

TJDA reserves the right to revoke or suspend a license at any time in the event of a material breach of this Agreement.

7. Data Processing & GDPR

The Plugin is designed to assist you in implementing server-side tracking. You, as the data controller, are solely responsible for:

• Ensuring that your use of the Plugin complies with the GDPR and any other applicable data protection laws.
• Obtaining valid consent from your website visitors before collecting or processing their personal data.
• Configuring the Plugin in accordance with the consent preferences of your visitors.

TJDA provides the Plugin as a technical tool and does not act as a data processor on your behalf with respect to your website visitors' data. TJDA's processing of your data (e.g., license key, domain name, email address) is governed by TJDA's Privacy Policy.

The Plugin may transmit data to the following third-party sub-processors on your behalf, subject to your configuration and the consent of your website visitors:

• Google LLC — Google Analytics 4 (Measurement Protocol) and Google Ads API. Certified under the EU-US Data Privacy Framework.
• Meta Platforms Ireland Ltd. — Meta Conversions API (CAPI), for server-side tracking of purchase and lead events. Certified under the EU-US Data Privacy Framework.
• LinkedIn Ireland Unlimited Company — LinkedIn Conversions API (CAPI), for server-side tracking of purchase and lead events. Subject to Standard Contractual Clauses.

You are responsible for ensuring that your privacy policy discloses the use of these sub-processors and that valid consent has been obtained from your website visitors where required. A Data Processing Agreement (DPA) is available from TJDA upon request, as required by Article 28 GDPR.

8. Updates & Support

An active license entitles you to:

• Plugin updates released during your license period.
• Email support via thijs.joosten@tj-da.com during business hours (Monday–Friday, CET).

TJDA reserves the right to change, suspend, or discontinue any aspect of the Plugin or support services at any time, with reasonable notice where possible.

9. Disclaimer of Warranties

THE PLUGIN IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TJDA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TJDA does not warrant that the Plugin will be error-free, uninterrupted, or compatible with all third-party services including Google Analytics, Google Ads, or WooCommerce.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TJDA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF BUSINESS.

TJDA's total aggregate liability under this Agreement shall not exceed the total fees paid by you to TJDA in the twelve (12) months preceding the claim.

11. Termination

This Agreement terminates automatically if you breach any of its terms. Upon termination, your right to use the Plugin ceases immediately and you must uninstall all copies.

TJDA may also terminate this Agreement with thirty (30) days' written notice if it discontinues the Plugin. In such event, a pro-rata refund of prepaid annual fees may be issued at TJDA's discretion.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands. For international licensees, TJDA agrees to make reasonable efforts to resolve disputes amicably before initiating formal proceedings.

13. Amendments

TJDA reserves the right to amend this Agreement at any time. You will be notified of material changes via the email address associated with your license. Continued use of the Plugin after the effective date constitutes your acceptance of the updated Agreement.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and TJDA with respect to the Plugin and supersedes all prior understandings, representations, or agreements relating to the Plugin.
